Contract review

AI contract review for small law firms.

Upload an agreement to your firm’s private workspace and get the key terms, the clauses worth a second look and a first-pass issues list, each tied to a clause number you can check.

How it works

The Contract Review assistant, step by step.

  1. 1

    Open the Contract Review assistant

It is one of the ready-made assistants on the first screen of your firm’s workspace, shared with everyone at the firm.

  2. 2

    Upload the agreement

PDF or Word. The file stays in your firm’s workspace, and you can ask about it for as long as your retention setting keeps the conversation.

  3. 3

    Ask for what you need

Key terms, an issues list, a comparison with your standard positions, or a rider. Ask it to quote the clause it relied on.

  4. 4

    Check it against the source

Read each cited clause yourself before anything goes to a client or the other side. The output is a starting point for your review.

What to ask

Requests that work well.

Specific requests get better answers. Ask it to quote or cite what it relied on, so checking is quick.

  • Example request: List the indemnity, limitation of liability, assignment and change-of-control terms, with clause numbers.
  • Example request: Which provisions favor the vendor? Quote each one.
  • Example request: Summarize termination rights for both parties and any notice periods.
  • Example request: Draft an issues list for the client, most important first.
  • Example request: Compare this NDA with the attached form and list every difference.
  • Example request: Draft a rider capping liability at fees paid in the prior 12 months.

What AI does, and what stays with your professionals.

Where Zrico helps

  • Reading a long agreement quickly and pulling out the terms you ask for
  • Spotting unusual or one-sided wording for you to look at
  • First drafts of issues lists, riders and client summaries
  • Checklist reviews against your own standard positions, using an assistant you build with your firm’s documents

Your firm’s responsibility

  • Reading every clause the output points to, in the source document
  • Judging what matters for this client and this deal
  • Deciding what to negotiate and signing off on the final language
  • Deciding, matter by matter, what client information goes into the workspace

Your own standard positions

Owners and admins can build an assistant for the firm’s recurring work in about a minute: start from the checklist-review template, add your standard positions or form agreements as documents, and it will search them and cite them. Nothing is trained; the assistant reads the documents you give it.

Confidentiality

Client files stay with your firm.

How we protect your data
  • Your firm’s own workspace

Its own application and databases at its own address, never shared with another firm.

  • Never used to train AI

Anthropic, OpenAI and Google do not train their models on your prompts, files or answers.

  • Claude runs in the US

Claude, the default, is processed only in the United States. If your firm owner turns on GPT or Gemini, those requests are not limited to the US.

  • Retention you set

Keep conversations, or have them deleted after a period you choose.

Questions

Contract review: common questions.

Can AI review a contract accurately?

Current models are good at reading a long agreement and finding the clauses you ask about, and they are much faster than a first read by hand. They can also miss things or misread a cross-reference, so treat the output as a first pass and check every clause it cites against the document.

Is it safe to upload a client’s contract?

In Zrico the file stays in your firm’s own workspace, and Anthropic, OpenAI and Google do not train their models on your prompts, files or answers. Claude, the default, is processed only in the United States; GPT and Gemini stay off unless your firm owner turns them on. Whether a given client’s information should go into any AI tool is still your judgment, and ABA Formal Opinion 512 discusses when informed consent may be needed.

Which file types can I upload?

PDF, Word and spreadsheets. Scanned PDFs work best when the text is selectable.

Does it check the contract against our playbook?

You can build an assistant from the checklist-review template and give it your standard positions as documents; it will compare the agreement against them and cite what it used. A fuller playbook review with tracked changes is part of Zrico Pro, which is in development and not available yet.

Does it replace a lawyer’s review?

No. It speeds up the reading and the first draft. A lawyer still reviews the agreement, decides what matters and signs off on the advice.
